Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the PerfSell platform, websites, and related services (collectively, the "Service"). By creating an account, subscribing, or otherwise using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

2. Description of the Service

PerfSell is a multi-marketplace e-commerce analytics platform. It connects to your marketplace accounts to import orders, products, stock and financial data, and provides analytics, reporting, forecasting and inventory insights. The Service is provided on a software-as-a-service basis and may evolve over time.

3. Accounts and Eligibility

• You must provide accurate and complete information when creating an account.
• You are responsible for safeguarding your credentials and for all activity under your account.
• You must be at least 18 years old and able to enter into a binding contract.
• Each workspace is multi-tenant isolated; you may not attempt to access another tenant's data.

4. Subscriptions, Trials and Billing

• Plans: The Service is offered under subscription plans (including TRIAL, PRO, BUSINESS and ENTERPRISE). Plan features and limits are described at the time of subscription.
• Free trial: Paid plans may include a 14-day trial. A payment method may be collected at signup but is not charged until the trial ends, unless you cancel beforehand.
• Payment: Billing is processed by Stripe. By subscribing you authorize recurring charges to your payment method for the applicable fees until you cancel.
• Taxes: Prices are stated excluding VAT. Applicable taxes (for example, French VAT) are added at checkout based on your billing address and tax status.
• Renewal: Subscriptions renew automatically for the same period unless cancelled before the end of the current billing cycle.
• Cancellation: You may cancel at any time from your account. Cancellation takes effect at the end of the current paid period; fees already paid are non-refundable except where required by law.
• Usage-based fees: Certain plans may include usage-based components (for example, order volume above an included quota). Any such fees are described in your plan or commercial agreement.

5. Acceptable Use

You agree not to:

• Use the Service in violation of any applicable law or marketplace terms.
• Attempt to gain unauthorized access to the Service or other tenants' data.
• Reverse engineer, resell, or sublicense the Service except as permitted by law.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service to transmit malware or to scrape it through unauthorized automated means.

6. Marketplace Connections and Third-Party Services

The Service connects to third-party marketplaces and providers (such as Mirakl-based marketplaces, Veepee/Privalia, Amazon, Cdiscount/Octopia, ManoMano and Groupon) using credentials or authorizations you provide. You are responsible for ensuring you have the right to connect those accounts. Third-party services are governed by their own terms, and their availability or data is outside our control. PerfSell is not responsible for changes, outages, or data limitations of third-party providers.

7. Customer Data and Privacy

You retain ownership of the data you import or generate through the Service ("Customer Data"). You grant PerfSell a limited license to process Customer Data solely to provide and improve the Service. Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.

8. Intellectual Property

The Service, including its software, design, and content (excluding Customer Data), is owned by PerfSell and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding. We may use aggregated, anonymized data to operate and improve the Service.

9. Service Availability and Support

We strive to keep the Service available and reliable but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features with reasonable notice where practicable. Scheduled maintenance and third-party dependencies may affect availability.

10. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law. Analytics, forecasts and financial figures are provided for informational purposes and may rely on third-party data; you remain responsible for your own business and accounting decisions.

To the maximum extent permitted by law, PerfSell shall not be liable for any indirect, incidental, or consequential damages, and our aggregate liability for any claim shall not exceed the amounts you paid for the Service in the twelve (12) months preceding the event giving rise to the claim.

11. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you materially breach these Terms or use the Service in a way that creates legal or security risk. Upon termination, your right to use the Service ceases; data retention after termination is described in our Privacy Policy.

12. Changes to the Service or Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the platform. Your continued use of the Service after such changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of France, without regard to conflict-of-law principles. Subject to any mandatory consumer protection rules, the competent courts of France shall have jurisdiction over any dispute arising from these Terms or the Service.
